Host reports high virtualbox CPU for first few hours (guest reports 0% cpu load)

Every time i start vbox machine, its cpu usage is high (about 1/2 of one core) for 30 minutes to 3 hours. Meanwhile guest reports 0% CPU usage.
This happens only if vt-x is disabled and both on linux and windows hosts. Tried virtual box 1.5 on windows and 2.1 on ubuntu.
Problem seems to fix itself at this moment: 00:21:03.284 PATM: Stop monitoring IDT handler pages at 82baa72c - invalid write 82baa40c-82baa410 (this is not a fatal error)

if start more then 2(include 2) vbox machines at the same time, the cpu usage will become to nomal. so i create a "empty" machine with 4m memory,no hdd ...

Hmm its not so simple, sometimes it starts using cpu again. And (might be unrelated) after several hours guest machine suffers from periodic cpu "lags" in about 1s interval - say you scroll something there are brief pauses about every 1s. Its not a network.
