Description
upon upgrading to 3.04 from 3.02 my winXP guest starts to boot but then hangs. Log seems to indicate guest is suspended.
Host is Vista X64. Guest Windows XP.
Windows 7rc X64 starts as expected

I had two SATA's, one on port 0 and one on port 1. When I removed the port 1 SATA or moved it to any port other than port 1 the VM starts.

Same condition (Host-Vista64, Guest-XP_SP3),
same problem (suspended during bootup),
same resolution (move SATA HD from port 1 to port 2).

Hmm, the log indicates that the guest was suspended but are you sure that this didn't occur because you were about to shut it down? Note that the guest is suspended when the dialog for closing/shutting down the VM is shown.
