my host windowmanager is windowmaker ( www.windowmaker.org ). vmware works fine with it. and problem only with shortcuts on f11-f12 keys. for example virtualbox successfully processes alt+tab (i can switch between windows in guest windows xp), alt+tab also windowmaker shortcut.

We can't do much if your host window manager (which is it btw?) does not pass these keystrokes to the guest. I guess you assigned shortcuts to F11/F12 on the host but not for F1...F10, correct?
